  6.                           AGREEMENT TO COMPROMISE DEBT

  10.                The undersigned a creditor of__________________________         
  11.         (Company) hereby agrees to compromise the indebtedness due the 
  12.         undersigned creditor on the following terms and conditions:

  14.                1.  The Company and the undersigned agree that the present 
  15.         debt due is $ ___________.

  17.                2.  The parties agree that the undersigned shall accept 
  18.         the sum of $_____________ as full payment on said debt and in 
  19.         complete discharge of all monies due, provided the sum herein
